Nashville City Paper Ultimate Tailgater Contest COMPLETE OFFICIAL RULES The following Contest is intended for U.S. Citizens or lawful permanent residents of the U.S. Entrants must be at least 21 years of age. 1. Nashville City Paper (CPC): City Paper Communications, LLC, and/or their parent, subsidiaries, affiliates, officers, directors, employees, representatives, successors 210 12th Avenue South Nashville, TN 37203 2. How to Enter: Nashville City Paper Ultimate Tailgater Contest (the "Contest") begins at on August 23, 2010, and ends January 7, 2011 (the "Contest Period"). Participants must visit www.nashvillecitypaper.com/ultimate-tailgater (the "Website") and complete the online entry form as instructed (limit one (1) online entry, per valid email address, per eligible person, per Contest Week (as defined below)) and the Submission (as defined below). All entries must be received by 11:59:59 p.m. CT on the last day of each Contest Week to be eligible. Each entry must include entrant's ("Entrant") full name, age, address, phone number (including area code), and e-mail address. CPC will not verify receipt of entries. If multiple entries are received, only the first entry will be accepted and additional entries will be disqualified. Any attempt by any Entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that participant's entry, and that Entrant may be disqualified. 3. Submission Requirements: Weekly Submissions for the Contest must consist of a completed contest entry form and at least one (1) but not more than three (3) photos that have been uploaded (collectively, the "Submissions" and each, a "Submission"). All photos must be taken within the 2010 Football Season and must be relevant to football tailgating (Middle School, High School, College, and/or Professional). Both amateur and professional photographers are welcome to participate. Digital images should be formatted to 72 dpi and no smaller than 450 by 338 pixels. Panoramic photos are not eligible. Images should be submitted in JPG (at high quality). File sizes must be less than 500K per image. Images must be in natural color. Black and white, sepia tone, and duotone images are not eligible. Submissions that are not original work of the Entrant and/or illegible or incomplete application forms will not be accepted. Your submission of the photo and the entry form is your guarantee that you are the author and copyright holder of the photo. Minor digital enhancement is permitted, but images that have been significantly modified or appear unnatural will be disqualified - Details are below. Not Permitted: No borders or frames may be added to images. No watermarks, signatures, or copyright notices may be added to images. All winning images will be displayed with the photographer's name. Adding or replacing elements in an image is not permitted. Artistic filters are not permitted. Permitted: Images may be cropped and rotated as necessary as long as the rectangular format is maintained and the size is within the specifications above. Images may be resized as long as the aspect ratio is maintained Red-eye removal and spot editing One-step enhancement (such as "AutoFix", "QuickFix", "Auto Levels", etc.) Use of filters to sharpen, soften, blur, despeckle, or remove noise. Use of corrective functions to improve the natural appearance of the image, such as levels, contrast, brightness, curves, intensity, tone, hue, saturation, lightness, value, color balance, and tint. Completed Submissions that are created and received within the above-mentioned guidelines shall collectively be referred to herein as the "Eligible Entries". All Submissions become the property of CPC and will not be returned. CPC reserves the right to reject any Submissions that it deems, in its sole discretion, to violate any of the policies of CPC's customary standards and practices. Photos must be appropriate for posting on a public government website. Obscene, provocative, or otherwise questionable content will not be considered. CPC retains sole discretion as to what constitutes inappropriate content. 4. Contest Weeks are outlined below. The first date is the date weekly submissions and voting begins. The second date is when weekly submissions and voting ends. The third date is the date when winners are announced. Eligibility: No Purchase or Payment Necessary to Enter/Win. To enter the Contest you must be a U.S. Citizen or lawful permanent resident of the U.S. and be at least 21 years of age as of August 23, 2010. Contest is void where restricted or prohibited by law. Registration on www.nashvillecitypaper.com is not required to enter the Contest, but if you do register, you may be asked to consent to receive promotional e-mails and reminders for upcoming CPC promotions and information about CPC. Consenting to receive such e-mails is optional and does not have to be agreed to in order to be eligible to enter the Contest, and does not increase your chances of winning the Contest. The Contest is not open to CPC, employees, or members of their households and/or immediate families (spouses, parents, siblings, children and each of their respective spouses) of CPC, participating affiliates, participating retailers, and their respective parent companies, subsidiaries, and affiliates, and their advertising and promotion agencies (collectively, the "Contest Entities"). The Contest is governed by U.S. law and is subject to all federal, state, and local laws and regulations. 6. Winning/Notification: Weekly Winners will be chosen via open voting on the Website from the weekly Eligible Entries by online readers of the Website. Voting is open from the beginning day of each Contest Week until 11:59:59 p.m. CT on the last day of each Contest Week. Weekly Winners will be notified by phone and email using the information provided on the entry form about collecting their prizes from Bar-B-Cutie. Open voting will begin on the Website on January 1, 2011 and will continue through 11:59:59 a.m. CT on January 7, 2011 to select the Grand Prize Winner from among the previous Weekly Winners. The Grand Prize Winner will be announced on the Website on January 7, 2011 and will be notified by phone and email using the information provided on the entry form. If Entrant is selected as a Weekly or Grand Prize Winner, Entrant will be required to execute a Hold Harmless Agreement when collecting prizes or such winner will be disqualified. 7. Prize Details: Eighteen (18) Weekly Prizes: The first nine (9) Weekly Prize Winners (September 3, 2010 – October 29, 2010) shall receive a Bar-B-Cutie Prize Package which includes a $50 Bar-B-Cutie Gift Card, 4 Bar-B-Cutie T-Shirts, 4 Bar-B-Cutie Koozies, Bar-B-Cutie Original Sauces, & Bar-B-Cutie Original Rib Rub, as well as a Newcastle Cherry wood Framed, Frosted & Etched Mirror. The second nine (9) Weekly Prize Winners (November 5, 2010 – December 31, 2010) will receive a Bar-B-Cutie Prize Package which includes a $50 Bar-B-Cutie Gift Card, 4 Bar-B-Cutie T-Shirts, 4 Bar-B-Cutie Koozies, Bar-B-Cutie Original Sauces, & Bar-B-Cutie Original Rib Rub, as well as a Heineken Light Patio Umbrella. Approximate Retail Value ("ARV") of Weekly Prize Package: $200 One (1) Grand Prize: The Grand Prize Winner ("Grand Prize Winner") shall win a Bar-B-Cutie catered buffet for 25 people which includes: BBQ Pork & Sauce, choice of 2 sides, choice of BBQ Bread or Buns, delivery and setup, plates, napkins, serving & eating utensils. Grand Prize Winner will also receive a Beer Tender compliments of Heineken USA. Approximate Retail Value ("ARV") of Grand Prize Package: $299 Bar-B-Cutie Prize Packages must be picked up at the location below: Bar-B-Cutie 5221 Nolensville Rd. Nashville, TN 37211 The Newcastle and Heineken Light Prizes must be picked up at the location below: The City Paper 210 12th Ave South Nashville, TN 37203 It is the responsibility of the Weekly and Grand Prize Winners to collect the prizes. CPC is not responsible for the collection and/or the fulfillment of the prizes. All expenses, costs, taxes, and fees associated with any element of the Submission, the Weekly Prize, and/or the Grand Prize are the sole responsibility of the Winner. CPC reserves the right to substitute a prize of equal or greater value if the Weekly and/or Grand Prizes listed above cannot be awarded as described for any reason. 8. Prize Conditions: If a potential winner is found to be ineligible, or if a potential winner fails to complete the requested Hold Harmless Agreement upon collection or the Prizes, his/her prize will be forfeited. Except where prohibited by law, a potential winner's entry and acceptance of the prize constitutes permission for the Contest Entities to use said potential winner's name, photograph, likeness, statements, biographical information, and city and state address on a worldwide basis, and in all forms of media, in perpetuity, without further compensation. The Weekly Prize and/or the Grand Prize and/or portions of either cannot be transferred, substituted, or redeemed for cash except at CPC's sole discretion. 9. Contest Conditions: CPC reserves the right to reproduce, publish, adapt, modify and/or revise the photo(s), in its sole discretion, in any manner or form throughout the world, in perpetuity. CPC will own all rights to the each Submission. Entries/Submissions become the property of CPC, and cannot be returned, and may be deemed a "promotional tool" of CPC under U.S. copyright law. By entering the Contest, Entrant waives any and all rights he or she may have to their Submission. To the extent Entrant has any rights in the Submission, Entrant assigns all such rights to Contest Entities by entering the Contest. Entries void if forged or if obtained/submitted outside authorized channels. By participating, Entrants agree to be bound by these Official Rules and the decisions of CPC, which shall be final, and waive any right to claim ambiguity in the Contest or these Official Rules. Winner and Entrants also agree to release, discharge, indemnify and hold harmless the Contest Entities and each of their respective officers, directors, employees, representatives and agents from and against any claims, damages or liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in any Contest-related activity or participation in this Contest. This Contest is subject to all applicable Federal and Municipal laws and all State and local regulations. This offer is void where prohibited and/or restricted by law. 10. Limitations of Liability: The Contest Entities and/or their parent, subsidiaries, affiliates, officers, directors, employees, representatives, successors and any and all Internet servers and access provider(s) are not responsible for: any incorrect or inaccurate entry information or voting; human error; technical malfunctions; failures, omission, interruption, deletion, or defect of any telephone network, computer online systems, computer equipment, server providers, or software, including any injury or damage to participant's or any other person's computer relating to or resulting from participation in this Contest; inability to access the Website; theft, tampering, destruction, or unauthorized access to, or alteration of entries; transactions that are processed late or incorrectly or are incomplete or lost due to computer or electronic malfunction or traffic congestion on the Internet or at any web site; printing or human or other errors; and any entries which are late, lost, incomplete, misdirected, stolen, mutilated, illegible or postage due, or any combination thereof. Proof of mailing, in person submission, or online submission is not considered proof of delivery or receipt. CPC may prohibit an Entrant from participating in the Contest or winning a prize if, in its sole discretion, it determines that said Entrant is attempting to undermine the legitimate operation of the Contest by cheating, hacking, deception, or any other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other Entrants or CPC representatives. If for any reason this Contest is not capable of running as planned, including, but not limited to tampering, unauthorized intervention, fraud or any other causes beyond the reasonable control of CPC which corrupt in any way or affect the administration, security, fairness, integrity, fulfillment or proper conduct of the promotion, then CPC reserves the right at its sole discretion to cancel, terminate, modify or suspend the Contest and select a winner by randomly drawing from those entries received up to the cancellation/suspension date. In the event CPC chooses to suspend, modify or terminate the Contest or portion(s) thereof, Entrants may be disqualified without any further obligation of CPC. Submissions and/or Eligible Entries that have been tampered with or altered are void. CPC's decisions with respect to all matters pertaining to the Contest shall be final. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY'S FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. 11. Hold Harmless and Image Release: In consideration of the opportunity to participate in the Contest, I voluntarily acknowledge and agree to the following: Participation in the above-described Contest may involve physical activity, which may expose me to the risk of personal injury or property damage. I am voluntarily participating in this activity and agree to assume all risks arising from my participation in the Contest regardless of how they might arise. I agree for myself, my heirs and assigns, executors and administrators to waive and release CPC and/or their parent, subsidiaries, affiliates, officers, directors, employees, representatives, successors (“Released Parties”) from any and all losses, causes of action, liabilities, expenses and/or claims for damages (collectively “Claims”) I may have that might arise directly or indirectly from participation in connection with the Contest and/or the condition of the property, facilities or equipment used for the Contest, regardless of when such Claim may arise including, without limitation, Claims relating to (i) any theft, loss or disappearance of property, (ii) bodily injury (fatal or non-fatal), and (iii) property damage, in each case unless such Claim is caused solely by the gross negligence or willful misconduct of one or more Released Parties. I grant permission for CPC to use my name, likeness, voice, relevant biographical information and any other indicia of my identity in connection with the Contest, and publicity, advertising, and promotion for the Contest and other contests in all forms of media throughout the world in perpetuity without remuneration. I further agree that all photos, negatives, sounds, imagery, video recordings, and all copyrights therein shall be the sole property of CPC, and I waive any right I may have to inspect or approve any materials that may use such rights. This waiver and release will be construed broadly to provide a release and waiver to the maximum extent permissible under applicable law. Any provisions found to be void or unenforceable shall be modified or deleted to the minimum extent necessary to make them enforceable, and shall not affect the enforceability of any other provisions. I have read this Hold Harmless Agreement and Image Release, I fully understand its terms, and I recognize that I have given up rights by participating in the Contest. I enter the Contest voluntarily and without any inducement or duress. 12. Winner's List: Each Weekly Winner will be listed on the Website. Beginning on or about January 7, 2011, the Grand Prize Winner will be listed on the Website.
